OVERVIEW

Welcome to Uppado.

These Terms of Service (“Terms”) apply to your access to and use of the Uppado website, online store, digital products, downloadable files, templates, spreadsheets, dashboard tools, content, features, and related services (collectively, the “Services”).

The terms “Uppado,” “we,” “us,” and “our” refer to Uppado and the business operator listed in the Contact Information section below.

Uppado is powered by Shopify, which enables us to provide our online store and checkout services.

By visiting, browsing, purchasing from, creating an account, accessing digital products, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms or our Privacy Policy, you should not use or access the Services.

SECTION 1 - ACCESS AND ACCOUNT

By using the Services, you represent that you are at least the age of majority in your state, province, or country of residence, or that you have permission from a parent or legal guardian to use the Services.

To use certain parts of the Services, including purchasing digital products or accessing customer-only dashboard features, you may be asked to provide information such as your name, email address, billing information, payment information, and account details.

You represent and warrant that all information you provide is accurate, current, and complete. You are responsible for keeping your account login details secure and for all activity that occurs under your account.

You may not sell, transfer, assign, share, or license your account or digital product access to another person.

SECTION 2 - OUR PRODUCTS

Uppado sells digital products only. Our products may include budgeting tools, digital planners, downloadable PDF files, spreadsheets, templates, financial organization resources, and access to digital dashboard features.

No physical products are shipped.

We make reasonable efforts to describe our products accurately. However, we do not guarantee that every preview image, layout, design, file format, calculation, dashboard view, or visual example will appear exactly the same on every device, browser, software version, screen size, or application.

Product descriptions, features, pricing, bonuses, and availability may be changed or discontinued at any time without notice.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase a digital product from Uppado.

Your order is accepted once payment is successfully processed and we provide order confirmation or digital access.

Please review your order carefully before submitting it. Because Uppado sells digital products and access may be provided shortly after purchase, we may be unable to cancel an order after it has been accepted.

If we need to cancel, change, or decline an order, we will attempt to notify you using the email address or contact information provided at checkout.

You agree that products purchased from Uppado are for your own personal or household use only and not for commercial resale, redistribution, sharing, or unauthorized distribution.

SECTION 4 - PRICES AND BILLING

Unless otherwise stated, prices are listed in U.S. dollars (USD).

Prices, discounts, promotions, launch offers, and product availability may change at any time without notice. The price charged for a product will be the price shown at the time your order is placed.

Posted prices may not include applicable taxes, which may be calculated at checkout depending on your location and applicable law.

You agree to provide current, complete, and accurate purchase, payment, billing, and account information for all purchases made through the Services.

Payment card details are processed by our payment providers and are not stored directly by Uppado.

You represent and warrant that you are authorized to use the payment method provided and that you will pay all charges incurred for your order.

SECTION 5 - DIGITAL DELIVERY

Uppado sells digital products only. No physical products are shipped.

After successful payment, customers may receive access to digital products through one or more of the following methods:

- order confirmation page
- email delivery
- customer account
- download link
- digital dashboard access
- another digital access method provided by Uppado

Digital delivery is usually immediate, but access may be delayed due to payment review, technical issues, email delivery issues, customer account issues, incorrect email information, third-party service delays, or other circumstances outside our reasonable control.

SECTION 6 - DIGITAL PRODUCT LICENSE

When you purchase a digital product from Uppado, you receive a limited, personal, non-exclusive, non-transferable license to use the product for your own personal or household budgeting and financial organization purposes.

You may not:

- resell Uppado products
- redistribute Uppado products
- share download links or dashboard access with others
- upload Uppado files to public websites, marketplaces, file-sharing services, or social platforms
- copy, modify, or repackage Uppado products for resale
- claim Uppado products as your own
- sublicense or transfer access to another person
- use Uppado products for commercial resale or distribution

All rights not expressly granted to you are reserved by Uppado.

SECTION 7 - INTELLECTUAL PROPERTY

The Services, including but not limited to our website, product names, brand elements, text, designs, graphics, images, videos, audio, downloadable files, dashboard interfaces, templates, spreadsheets, layouts, and other content, are owned by Uppado or our licensors and are protected by intellectual property laws.

You may use the Services and purchased digital products only as allowed under these Terms.

You must not reproduce, distribute, modify, publicly display, publicly perform, republish, download, store, transmit, scrape, copy, reverse engineer, or exploit any part of the Services or products except as expressly allowed by these Terms or with our prior written permission.

Uppado’s name, branding, product names, designs, and slogans may not be used without our prior written permission.

Shopify’s name, logo, product names, and service names are trademarks of Shopify. All other trademarks are the property of their respective owners.

SECTION 8 - NO FINANCIAL ADVICE

Uppado provides budgeting tools, templates, digital planners, spreadsheets, savings challenges, dashboard features, and personal finance organization resources for general informational and educational purposes only.

Uppado does not provide financial, investment, tax, legal, accounting, or professional advice.

Any budget examples, savings goals, debt tracking tools, spending categories, calculations, dashboard scores, challenge results, or financial organization features are provided for planning and educational purposes only.

You are responsible for your own financial decisions. If you need professional advice, you should consult a qualified financial, tax, legal, accounting, or other professional advisor.

SECTION 9 - MONEY GAME DASHBOARD AND LOCAL DATA

Some Uppado products may include access to digital dashboard features, including the Uppado Money Game Dashboard or similar tools.

Dashboard features may allow you to enter personal budgeting information such as income, expenses, bills, subscriptions, savings goals, debt balances, challenge progress, and other financial organization data.

Unless otherwise stated, dashboard data may be stored locally in your browser using localStorage or similar browser-based storage. This means the data may be saved on your device/browser and may not sync across devices, browsers, or accounts.

If you clear your browser data, use a different device, use a different browser, or lose access to your local browser storage, your dashboard data may be lost.

You are responsible for exporting, backing up, or saving copies of your own dashboard data where export or backup features are available.

We do not guarantee that dashboard tools will be uninterrupted, error-free, permanently available, or suitable for your specific financial situation.

SECTION 10 - REFUNDS

Because Uppado sells digital products and access may be provided shortly after purchase, refunds are handled according to our Payment & Refund Policy.

In general, refunds may be limited after digital access, download links, files, or dashboard access have been delivered, except where required by law or where we determine that a technical issue, duplicate order, failed access, or billing error occurred.

SECTION 11 - OPTIONAL TOOLS

We may provide access to third-party tools, apps, integrations, or services as part of the Services.

We do not monitor or control all third-party tools and provide access to them “as is” and “as available” without warranties of any kind.

Your use of any optional third-party tools is at your own risk and subject to the third party’s own terms and policies.

We may also offer new features, tools, products, or resources in the future. Such new features will also be subject to these Terms unless otherwise stated.

SECTION 12 - THIRD-PARTY LINKS

The Services may contain links to websites, platforms, apps, or resources operated by third parties.

We are not responsible for reviewing, evaluating, or guaranteeing the content, accuracy, policies, security, or practices of third-party websites or services.

If you access third-party websites or services, you do so at your own risk. Complaints, claims, concerns, or questions regarding third-party products or services should be directed to the third party.

SECTION 13 - RELATIONSHIP WITH SHOPIFY

Uppado is powered by Shopify, which enables us to provide the Services to you.

However, any sales and purchases made through our store are made directly with Uppado.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sale between you and Uppado, including any injury, damage, loss, claim, issue, or dispute related to products, services, purchases, or transactions with Uppado.

You release Shopify and its affiliates from claims, damages, and liabilities arising from or related to your purchases and transactions with Uppado.

SECTION 14 - PRIVACY POLICY

Your use of the Services is also governed by our Privacy Policy, available at:

Because the Services are hosted by Shopify, Shopify may collect and process certain personal information about your access to and use of the Services in order to provide and improve the Services.

By using the Services, you acknowledge that you have read our Privacy Policy.

SECTION 15 - FEEDBACK

If you submit, upload, post, email, or otherwise provide ideas, suggestions, feedback, reviews, comments, proposals, or other content to us (“Feedback”), you grant Uppado a worldwide, royalty-free, sublicensable, transferable, perpetual license to use, reproduce, modify, publish, distribute, display, and create derivative works from that Feedback for any purpose, including improving and promoting the Services.

You represent that you own or have the necessary rights to submit the Feedback and that your Feedback does not violate the rights of any third party.

We are not required to keep Feedback confidential, pay compensation for Feedback, or respond to Feedback.

SECTION 16 - ERRORS, INACCURACIES, AND OMISSIONS

Occasionally, information on the Services may contain typographical errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, offers, availability, features, or other content.

We reserve the right to correct errors, inaccuracies, or omissions and to change or update information or cancel orders if information on the Services is inaccurate, including after an order has been submitted.

SECTION 17 - PROHIBITED USES

You may use the Services only for lawful purposes.

You may not use the Services:

- for any unlawful, fraudulent, harmful, or malicious purpose
- to violate any applicable laws or regulations
- to infringe our intellectual property rights or the rights of others

We reserve the right to suspend, disable, or terminate your access to the Services if we determine that you have violated these Terms.

SECTION 18 - AUTOMATED ACCESS AND AGENTS

You may not use bots, crawlers, scrapers, automated tools, agentic AI systems, or similar technologies to access, copy, extract, purchase, test, monitor, or interact with the Services in a way that violates these Terms or harms the Services.

Any automated system that accesses the Services must comply with our technical restrictions, robots.txt files, rate limits, and other instructions.

We reserve the right to block, restrict, limit, or terminate automated access at any time.

SECTION 19 - TERMINATION

We may terminate or suspend your access to the Services, including customer account access or dashboard access, at any time if we determine that you have violated these Terms.

You remain responsible for any amounts due up to the date of termination.

Sections that by their nature should survive termination will continue to apply, including sections relating to intellectual property, digital product license, no financial advice, refunds, disclaimers, limitation of liability, indemnification, governing law, and privacy.

SECTION 20 - DISCLAIMER OF WARRANTIES

The Services and products are provided “as is” and “as available.”

To the fullest extent permitted by law, Uppado makes no warranties or representations of any kind, express or implied, regarding the Services or products, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, or uninterrupted operation.

We do not guarantee that:

- the Services will be uninterrupted, secure, timely, or error-free
- digital files or dashboard features will meet your expectations
- any budgeting tool, score, tracker, spreadsheet, or calculation will produce a specific financial result
- your use of the Services will improve your financial situation
- dashboard data will be permanently stored or recoverable

Some jurisdictions do not allow certain warranty limitations, so some of the above limitations may not apply to you.

SECTION 21 - LIMITATION OF LIABILITY

To the fullest extent permitted by law, Uppado and our partners, contractors, service providers, affiliates, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or similar damages, including lost profits, lost revenue, lost savings, loss of data, replacement costs, financial losses, or other damages arising from:

- your use of the Services
- your inability to use the Services
- your purchase or use of any digital product
- errors, inaccuracies, or omissions in content
- technical issues, access issues, or data loss
- your reliance on any budgeting tool, template, dashboard, score, challenge, calculation, or financial organization resource

In no case shall Uppado’s total liability exceed the amount you paid to Uppado for the product giving rise to the claim, unless otherwise required by applicable law.

SECTION 22 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Uppado, Shopify, and our affiliates, partners, contractors, service providers, employees, agents, licensors, and representatives from any claims, damages, losses, liabilities, costs, or expenses, including reasonable attorneys’ fees, arising out of:

- your breach of these Terms
- your violation of any law
- your violation of the rights of a third party
- your misuse of the Services
- your unauthorized use, resale, redistribution, or sharing of Uppado digital products

SECTION 23 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be deemed severed from these Terms.

The validity and enforceability of the remaining provisions shall not be affected.

SECTION 24 - WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

These Terms, together with our Privacy Policy, Payment & Refund Policy, Delivery Policy, and any other policies posted on the Services, constitute the entire agreement between you and Uppado regarding your use of the Services.

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

SECTION 25 - ASSIGNMENT

You may not transfer, assign, or delegate these Terms or your rights or obligations under these Terms without our prior written consent.

We may transfer, assign, or delegate these Terms and our rights and obligations without your consent or notice.

SECTION 26 - GOVERNING LAW

These Terms and any separate agreements whereby we provide Services to you shall be governed by and construed in accordance with the laws of Ukraine, without regard to conflict of law principles, unless otherwise required by applicable consumer protection laws.

Nothing in these Terms limits any mandatory consumer rights that may apply to you under the laws of your place of residence.

We reserve the right to update, change, or replace any part of these Terms by posting updates on our website.

Changes will be effective when posted unless otherwise stated. Your continued use of or access to the Services after changes are posted constitutes acceptance of those changes.
